WHOZFIRE TERMS & CONDITIONS

1. ACCEPTANCE OF TERMS

Welcome to WhozFire ("Platform," "we," "us," or "our"). By accessing or using WhozFire, you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.

WhozFire is a competitive music platform where artists submit tracks to tournaments, and users vote to determine qualification. Tournament outcomes and prizes are determined through live performance-based competitions.

2. ELIGIBILITY

You must be at least 13 years old to use WhozFire. If you are under 18, you must have parental or legal guardian consent.

Artists participating in tournaments must be at least 18 years old or have legal guardian consent to enter into binding agreements and receive prize payments.

3. ACCOUNT REGISTRATION

To access certain features of the Platform, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain the confidentiality of your login credentials
  • Notify WhozFire immediately of any unauthorized access
  • Accept responsibility for all activity occurring under your account

Accounts may be registered as Artist, Voter, Supporter, or Tournament Manager, each with different permissions and responsibilities.

4. ARTIST SUBMISSIONS

4.1 Content Ownership

Artists retain all ownership rights to their submitted music. By submitting content, you grant WhozFire a non-exclusive, worldwide, royalty-free license to:

  • Stream and display your music on the Platform
  • Use your music in tournament competitions
  • Promote your music through WhozFire channels, including social media

4.2 Content Requirements

All submissions must:

  • Be original or properly licensed
  • Not infringe upon third-party rights
  • Not contain illegal, harmful, or offensive material
  • Meet technical specifications required by the Platform

4.3 Moderation

WhozFire reserves the right, at its sole discretion, to review, approve, reject, or remove any submitted content.

5. TOURNAMENTS & COMPETITIONS

5.1 Tournament Rules

Each tournament may have its own rules, eligibility requirements, timelines, and performance standards. Artists must comply with all tournament-specific rules.

5.2 Voting System

Voting is used solely to determine qualification into the tournament phase. Voting activities and qualification outcomes are administered exclusively by WhozFire and are not sponsored, endorsed, or administered by any third-party sponsors, partners, or special guests.

Vote manipulation, fraud, abuse, or the use of automated systems may result in disqualification and account termination.

5.3 Prize Distribution

Prizes are awarded based on live stream performance and competitive outcomes during the tournament phase, not based on voting or leaderboard rankings.

Prize distribution is subject to:

  • Verification of artist identity and eligibility
  • Completion of required tax documentation
  • Compliance with these Terms and tournament-specific rules
  • Fulfillment of any performance, appearance, or content requirements

Prize payments may take up to sixty (60) days to process following the conclusion of the applicable tournament phase.

5.4 Disputes

Tournament results are final once concluded. Any disputes must be submitted within forty-eight (48) hours of tournament completion.

5.5 Sponsor, Partner & Special Guest Participation

Certain tournaments, live streams, or prize offerings may involve third parties, including but not limited to EngineEars.com, The Debut, and various special guests, judges, hosts, or media partners (collectively, "Third-Party Participants").

Third-Party Participants are not affiliated with, involved in, or responsible for:

  • The voting system or voting period
  • Free or paid voting credits
  • Leaderboard rankings or qualification outcomes
  • Platform performance or availability
  • Payment processing, refunds, or disputes
  • User, artist, or voter conduct

Third-Party Participant involvement, where applicable, begins only after the voting period has concluded and the Top 128 qualifying artists have been officially determined, unless expressly stated otherwise in writing.

6. PAYMENTS & CREDITS

Voting credits may be purchased through WhozFire's payment processor. All purchases are final and non-refundable except as required by law.

Artists receive prize payouts through Stripe Connect and must complete onboarding, verification, and tax requirements.

7. PROHIBITED CONDUCT

You agree not to:

  • Violate applicable laws or regulations
  • Engage in vote manipulation or fraud
  • Use bots or automated systems
  • Harass, abuse, or harm others
  • Create multiple accounts to abuse Platform features
  • Reverse engineer, scrape, or disrupt the Platform
  • Impersonate any person or entity

8. INTELLECTUAL PROPERTY

WhozFire owns all rights to the Platform's software, design, branding, and trademarks. User-submitted content remains the property of the respective artists, subject to the license granted in Section 4.

9. PRIVACY

Your use of the Platform is governed by WhozFire's Privacy Policy. By using the Platform, you consent to our data practices.

10. DISCLAIMERS

The Platform is provided "AS IS" and "AS AVAILABLE" without warranties of any kind.

10.1 Third-Party Sponsors, Partners & Guests

Third-party sponsors, partners, and special guests, including EngineEars.com and The Debut, do not operate, control, endorse, or administer the Platform, voting systems, or tournament mechanics. WhozFire retains sole responsibility for all voting and tournament operations unless expressly stated otherwise in writing.

11. LIMITATION OF LIABILITY

To the maximum extent permitted by law, WhozFire shall not be liable for indirect, incidental, consequential, or punitive damages. Total liability shall not exceed the greater of one hundred dollars ($100) or the amount paid to WhozFire in the twelve (12) months preceding the claim.

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless WhozFire, its officers, directors, employees, contractors, affiliates, tournament sponsors, partners, and special guests (including EngineEars.com and The Debut) from any claims, damages, losses, liabilities, costs, or expenses arising from:

  • Your use of the Platform
  • Your participation in voting or tournaments
  • Your content submissions
  • Your violation of these Terms or applicable law

13. TERMINATION

WhozFire may suspend or terminate accounts at any time. Upon termination:

  • Access to the Platform will cease
  • Unused credits may be forfeited
  • Pending payouts will be reviewed at WhozFire's discretion

14. DISPUTE RESOLUTION

Disputes must first be addressed informally by contacting WhozFire. Any unresolved disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association. Class actions and jury trials are waived.

15. GOVERNING LAW

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

16. CHANGES TO TERMS

WhozFire may update these Terms at any time. Continued use of the Platform constitutes acceptance of the updated Terms.

18. MISCELLANEOUS

These Terms constitute the entire agreement between you and WhozFire. If any provision is found unenforceable, the remaining provisions shall remain in full force and effect.
