1. ACCEPTANCE OF TERMS

Welcome to WhozFire ("Platform," "we," "us," or "our"). By accessing or using WhozFire, you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.

WhozFire is a competitive music platform where artists submit tracks to tournaments, and users vote to determine winners. The Platform facilitates prize distributions and community engagement around music discovery.

2. ELIGIBILITY

You must be at least 13 years old to use WhozFire. By using the Platform, you represent and warrant that you meet this age requirement. If you are under 18, you must have parental or guardian consent to use the Platform.

Artists participating in tournaments must be at least 18 years old or have legal guardian consent to enter into binding agreements and receive prize payments.

3. ACCOUNT REGISTRATION

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Be responsible for all activities under your account

You may register as an Artist, Voter, Supporter, or Tournament Manager. Each role has different permissions and responsibilities on the Platform.

4. ARTIST SUBMISSIONS

4.1 Content Ownership: Artists retain all ownership rights to their submitted music. By submitting content, you grant WhozFire a non-exclusive, worldwide, royalty-free license to:

• Stream and display your music on the Platform
• Use your music in tournament competitions
• Promote your music on our Platform and social media

4.2 Content Requirements: All submitted music must:

• Be original work or properly licensed
• Not infringe on any third-party rights
• Not contain illegal, harmful, or offensive content
• Meet technical specifications (format, length, quality)

4.3 Moderation: WhozFire reserves the right to review, approve, or reject any submission at our sole discretion. We may remove content that violates these Terms or applicable laws.

5. TOURNAMENTS & COMPETITIONS

5.1 Tournament Rules: Each tournament has specific rules, entry requirements, prize pools, and duration. Artists must comply with all tournament-specific rules.

5.2 Voting System: Tournaments use a credit-based voting system. Voters purchase or earn credits to vote for their favorite tracks. Vote manipulation, fraud, or abuse will result in disqualification and account termination.

5.3 Prize Distribution: Prizes are distributed based on tournament standings at the conclusion of the tournament. Prize payouts are subject to:

• Verification of artist identity and eligibility
• Completion of required tax documentation
• Compliance with these Terms
• Processing time of 7-14 business days

5.4 Disputes: Tournament results are final once the tournament ends. Disputes must be submitted within 48 hours of tournament completion.

6. PAYMENTS & CREDITS

6.1 Credit Purchases: Users can purchase voting credits through our payment processor (Stripe). All credit purchases are final and non-refundable except as required by law.

6.2 Free Credits: New users may receive free credits upon registration. Daily free votes may be available to active users.

6.3 Artist Payouts: Artists receive prize money through Stripe Connect. You must:

• Complete Stripe onboarding and verification
• Provide accurate banking information
• Comply with tax reporting requirements

6.4 Fees: WhozFire may charge platform fees on transactions. All fees will be clearly disclosed before purchase.

7. PROHIBITED CONDUCT

You agree not to:

• Violate any laws or regulations
• Infringe intellectual property rights
• Upload malicious code or viruses
• Engage in vote manipulation or fraud
• Harass, abuse, or harm other users
• Create multiple accounts to abuse features
• Reverse engineer or scrape the Platform
• Use bots or automated systems
• Impersonate others or provide false information

8. INTELLECTUAL PROPERTY

WhozFire owns all rights to the Platform's design, features, branding, and software. "WhozFire," logos, and trademarks are our property. You may not use our intellectual property without written permission.

User-submitted content remains the property of the respective artists, subject to the license grant in Section 4.

9. PRIVACY & DATA

Your use of WhozFire is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the Platform, you consent to our data practices as described in the Privacy Policy.

10. DISCLAIMERS

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee:

• Uninterrupted or error-free service
• Accuracy of content or results
• Security of data transmission
• Specific tournament outcomes or prizes

11. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WHOZFIRE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM.

Our total liability shall not exceed the greater of (a) $100 or (b) the amount you paid to WhozFire in the 12 months preceding the claim.

12. INDEMNIFICATION

You agree to indemnify and hold WhozFire harmless from any claims, damages, losses, liabilities, and expenses arising from:

• Your use of the Platform
• Your content submissions
• Your violation of these Terms
• Your violation of third-party rights

13. TERMINATION

We may suspend or terminate your account at any time for any reason, including violation of these Terms. Upon termination:

• Your access to the Platform will cease
• Unused credits will be forfeited
• Pending prize payments will be reviewed on a case-by-case basis
• You may not create new accounts without permission

You may delete your account at any time through account settings.

14. DISPUTE RESOLUTION

14.1 Informal Resolution: Before filing a claim, you agree to contact us at legal@whozfire.com to attempt informal resolution.

14.2 Arbitration: Any disputes will be resolved through binding arbitration under the rules of the American Arbitration Association, rather than in court. You waive your right to a jury trial.

14.3 Class Action Waiver: You agree to resolve disputes individually and waive participation in class actions.

15. GOVERNING LAW

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

16. CHANGES TO TERMS

We may update these Terms at any time. We will notify users of material changes via email or Platform notification. Continued use after changes constitutes acceptance of the new Terms.
